Reporting to the Chairman and Chief Executive Officer (‘CEO’), the Executive Vice President & Group Chief Legal Officer (the ‘CLO’) will serve as a strategic advisor on all legal matters affecting Butterfield. The CLO will partner with the Chairman and CEO, Executive Committee, and the Board of Directors (‘Board’) to achieve revenue and profit goals, and drive corporate value while protecting shareholder interests. Support for corporate matters will include advising the business and corporate leaders on securities and regulatory requirements, growth opportunities, corporate governance matters, legislation, contract negotiations, mergers & acquisitions (‘M&A’), and litigation.
Your responsibilities will include:
- Provide advice on all corporate, banking, employment, commercial law, regulatory/compliance, Securities Exchange Commission (‘SEC’) / New York Stock Exchange (‘NYSE’) / Bermuda Stock Exchange (‘BSX’), and corporate governance matters relating to the structure and operations of the Bank.
- Provide advice on and establish oversight over all banking, capital market, commercial, and M&A transactions, including drafting and negotiating relevant contracts.
- Provide ongoing advice on current and emerging local and relevant US law reform initiatives and applicable SEC/NYSE regulatory rule making.
- Provide enterprise-wide, strategic advice, serving as a thought partner and key member of the Executive Committee.
- Oversee the delivery of corporate secretarial responsibilities.
- Protect the interests of the Bank and its subsidiaries in respect of all legal matters; manage and oversee all litigation matters across the Butterfield Group, including engaging external counsel and advising on litigation tactics/strategies.
- Establish policies and procedures in order to ensure that the Group’s exposure to legal risk is managed in a commercially sensitive and practical manner.
- Manage and lead the Bank’s global legal team.
- Select and engage external counsel on relevant litigation and corporate/commercial matters in accordance with relevant internal policies and manage associated legal expenses and related processing.
- Collaborate with Group functions and provide support and advice as deemed necessary.
- Review, interpret and apply relevant statutes and regulations and establish training programs for staff on new and existing laws/regulations as required.
Your qualifications and skills include:
- 10 years of relevant corporate and banking law experience, including experience operating as general counsel or other senior legal in-house role within a publicly traded Bank of commensurate size, complexity, and scope. Prior experience working within a well-regarded US law firm preferred.
- C-suite advisory experience that involves working closely with a CEO, Executive Committee and Board. Proven track record of providing practical, commercial advice to Senior Management/Board and across a banking enterprise on areas of legal risk management and strategic growth.
- Strong working knowledge of US Securities Laws and current knowledge of relevant Bank regulatory trends and practices.
- Excellent legal and commercial acumen, paired with a strategic mindset and extensive multi-jurisdictional financial services experience. Proven ability to advise on a broad range of legal issues and corporate matters.
- Demonstrated experience providing strategic leadership and oversight of an international legal department, including the successful management and development of legal talent.
- An excellent team player and team builder with the highest ethical standards and a strong commitment to legal ethics and professional responsibility.
- Willing and able to make difficult decisions on legal and strategic initiatives.
