Assistant Vice President, Team Leader – Corporate Secretarial Services
This position reports to the Vice President, Trust Services and is responsible for the team providing corporate secretarial services to clients in Bermuda.
Your responsibilities will include:
- Managing and directing the day to day activities of the corporate secretarial team
- Monitoring and controlling the performance and operations of the corporate secretarial function ensuring that client work is undertaken at the appropriate level and in accordance with applicable legislation and internal policies and procedures
- Acting as a senior relationship manager with clients in respect of service delivery, ensuring that quality service is provided in a timely manner
- Managing and providing corporate administration services to a portfolio of Bermuda and international entities, including arranging/attending board meetings, maintaining statutory and regulatory compliance, and providing governance and best practice advice
- Liaising with clients, directors, local regulatory bodies, attorneys, auditors and accountants
- Acting as a technical mentor, developing the knowledge and practical capabilities and proactively managing the development of team knowledge and skills and preparing and maintaining corporate secretarial policies and procedures
- Maintaining and developing key client relationships including taking an active role in solving client concerns
- Coordinating staffing of the corporate secretarial team and resource planning for potential clients.
- Liaising with internal compliance teams to ensure all compliance matters are completed in order to meet regulatory and internal requirements
Your qualifications and skills include:
- University degree and professional qualification from the Chartered Governance Institute (ICSA) or equivalent
- Minimum of seven years relevant and demonstrable experience including at least two years in a senior or management role
- Expert knowledge of corporate secretarial practice, meeting protocols and procedures, sound governance practices, responsibilities of company directors, and legislative compliance
- Thorough knowledge of Bermuda company legislation and related statutory regulations; knowledge of BVI, Cayman Islands (or other domicile) legislation would be an asset; working knowledge of Bermuda trust regulations would be advantageous
- Proven experience running board meetings, preparing meeting packs and taking minutes
- Excellent interpersonal skills with proven ability to lead and promote a team environment.
- Strong organisational and time management skills and ability to work effectively under pressure
- Demonstrated ability to identify performance gaps and determine best course of action to rectify either through policy, procedures, staff coaching, and/or expert guidance based upon knowledge of business objectives, systems, and management best practice
- Proven experience determining the best course of action for unique client requests based upon company by-laws, legislation, industry standards, and client needs
- Proficient in Microsoft Office Suite (Word, Excel in particular)
